Welcome to Nexira Studios. These Terms of Service (the "Terms") govern your access to and use of this website and the creative services offered through it, including digital art creation, custom illustration design, brand visual design, social media creative design, and website and landing page graphics (collectively, the "Services"). By visiting this website, submitting an inquiry, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you do not agree with any part of these Terms, please do not use this website or the Services.
1. About the Studio
Nexira Studios (the "Studio", "we", "us", or "our") is a creative art and design studio that produces digital visual content, custom artwork, illustration, branding visuals, and professional graphic design for businesses, entrepreneurs, and individual clients. All work is performed on a commission basis according to a written brief agreed between the Studio and the client before production begins.
2. Eligibility
The Services are intended for individuals who are at least eighteen (18) years of age and for legal entities acting through authorized representatives. By placing an order, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement. If you are acting on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
3. Orders, Quotes, and Commissions
An order request submitted through this website is an invitation to begin a conversation, not a binding contract. After receiving your request, the Studio will review the brief, ask clarifying questions where necessary, and respond with a written quote that describes the scope of work, the price, the estimated timeline, and the deliverables. A commission becomes binding only once you confirm the quote in writing and, where applicable, the agreed deposit has been received. The Studio reserves the right to decline any project at its sole discretion, including projects that conflict with these Terms or with applicable law.
4. Pricing and Payment
Prices displayed on this website are starting rates ("from" prices) expressed in United States dollars and serve as a guide only. The final price of every commission depends on its scope, complexity, number of deliverables, licensing terms, and timeline, and is fixed in the written quote. Unless otherwise agreed in writing, projects above a threshold defined in the quote require a deposit before work begins, with the remaining balance due upon approval of the final artwork and before the release of final files. Monthly design programs are billed in advance for each billing period. All payments must be made through the methods specified in the quote. Applicable taxes, duties, or transaction fees are the responsibility of the client unless stated otherwise.
5. Client Materials and Responsibilities
You agree to provide accurate, complete, and timely information, materials, and feedback necessary for the completion of the commission, including briefs, brand assets, reference materials, and written approvals. You represent and warrant that any materials you supply to the Studio are owned by you or properly licensed to you, and that their use in the commissioned work will not infringe the rights of any third party. The Studio is not responsible for delays or defects caused by late, incomplete, or inaccurate client materials, and timelines will be adjusted accordingly.
6. Creative Process, Previews, and Revisions
Each commission follows the Studio's standard process: brief, concept and direction, creation, refinement, and delivery. Interim previews are provided at agreed milestones so that you can review the direction of the work. Every commission includes two (2) rounds of refinement within the approved concept. Additional revision rounds, changes of concept after approval, or substantial expansions of scope are treated as new work and will be quoted separately. Feedback must be provided in writing and consolidated where possible; the Studio may pause a project while awaiting client feedback.
7. Delivery and Acceptance
Final files are delivered electronically in the formats agreed in the quote, such as print-ready or web-optimized files. Delivery dates stated in quotes are estimates made in good faith; the Studio will make reasonable efforts to meet them but is not liable for delays caused by circumstances outside its reasonable control or by the client's failure to provide materials or feedback. You are responsible for reviewing deliverables promptly. Deliverables are deemed accepted if no written objection is received within seven (7) days of delivery, or upon your first commercial use of the work, whichever occurs first.
8. Intellectual Property and Licensing
All artwork, sketches, drafts, and design materials created by the Studio remain the intellectual property of the Studio until the commission has been paid for in full. Upon receipt of full payment, you receive the license or transfer of rights specified in your quote for the final approved deliverables. Unless expressly agreed otherwise in writing, preliminary works, rejected concepts, and working files remain the property of the Studio, and the Studio retains the right to display completed, non-confidential work in its own portfolio and promotional materials. You may not resell, sublicense, or redistribute the artwork as a standalone product, claim authorship of the artwork, or register the artwork or any derivative of it as your own original creation, except to the extent expressly permitted by your license. 9. Cancellations and Refunds
You may cancel a commission at any time by written notice. If a commission is cancelled after work has begun, the Studio is entitled to retain payment proportional to the work completed at the time of cancellation, as described in more detail in the Studio's Refund Policy, available on this website. Deposits cover the reservation of production time and the work performed and are non-refundable once the concept stage has been delivered, unless required otherwise by applicable law. Monthly design programs may be cancelled with notice before the start of the next billing period; fees for the current period are not refunded once the period has begun.
10. Acceptable Use
You agree not to use this website or the Services for any unlawful purpose, and not to commission works that are defamatory, fraudulent, infringing, hateful, or otherwise unlawful, or that you intend to use in a misleading or deceptive manner. You further agree not to interfere with the operation of this website, attempt to gain unauthorized access to any systems, or use automated tools to scrape or copy the content of this website. The Studio may refuse or terminate any commission that, in its reasonable judgment, violates this section.
11. Third-Party Materials
Where a commission requires third-party assets such as typefaces, stock elements, or licensed references, the Studio will inform you of any licensing requirements. Unless included in the quote, the cost of third-party licenses is borne by the client, and the client is responsible for maintaining those licenses for the duration of use.
12. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with a commission, including briefs, business plans, and unreleased products, and to use such information solely for the purpose of completing the commission. This obligation survives the completion or termination of any project.
13. Disclaimer of Warranties
This website and the Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, the Studio disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly stated in a written quote. Creative work is by its nature subjective, and the Studio does not warrant any particular commercial outcome, such as sales, engagement, or conversion results, arising from the use of the delivered artwork.
14. Limitation of Liability
To the fullest extent permitted by applicable law, the Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms, this website, or the Services. In all cases, the total aggregate liability of the Studio for any claim shall not exceed the amount actually paid by you for the specific commission giving rise to the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Studio and its personnel from and against any claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of materials you supplied, your use of the deliverables outside the scope of the agreed license, or your breach of these Terms.
16. Governing Law
These Terms and any dispute arising out of or relating to them are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. The parties agree to attempt to resolve any dispute amicably through good-faith negotiation before pursuing other remedies.
17. Changes to These Terms
The Studio may update these Terms from time to time to reflect changes in its services, practices, or legal requirements. The revised version will be posted on this page with an updated "Last Updated" date, and it applies to all orders confirmed after that date. Your continued use of this website after changes are posted constitutes acceptance of the revised Terms.
18. Severability and Entire Agreement
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. These Terms, together with the written quote for your commission and the Studio's Privacy Policy, Cookie Policy, Refund Policy, Intellectual Property Policy, and Copyright and DMCA Policy, constitute the entire agreement between you and the Studio regarding the Services and supersede any prior understandings.
